The corporate conflict between the owners of the Voronezh Neftegazdetal may enter a new stage.
The corporate dispute over LLC NPO Neftegazdetal (a designer and manufacturer of surface equipment for oil and gas production) has been practically settled, but it is likely that after that it will reach a new level. At the current moment, the three co-owners failed to recognize the transaction for the sale of a share in the company by the commercial director and former co-owner Sergey Maltsev to a third party as invalid. But the fact is that in two years of litigation they managed to withdraw all assets from Neftegazdetal, more than 100 million rubles, leaving the company with debts. The new beneficiary of the company may have grounds for challenging the transactions, but it is still difficult to say whether he has a chance of success.
The courts of various instances considered about a dozen lawsuits between the co-owners of Neftegazdetali, but the key was the process of challenging the sale of a 22% stake (the nominal value was 25 million rubles) by S. Maltsev to the Voronezh enterprise OOO Production Investment Company for 19 million rubles. The former commercial director of Neftegazdetali claims that at first he offered to buy a stake for partners, but was refused. The courts of first instance and appeal sided with S. Maltsev, their decisions were appealed by the co-owners to the cassation, but then the plaintiffs abandoned their claims, in connection with which the case was dismissed. The court decision has not yet entered into force, but an appeal is unlikely to be expected.
While the lawsuit was going on, three partners who disagreed with the sale of the partner's share renamed the enterprise Detal LLC, registering it at a new address with new founders. At the same time, the wife of one of the three beneficiaries of Neftegazdetali, as well as Production Investment Company LLC with a 22% share, are among the owners. The equipment of Neftegazdetali is distributed among several limited liability companies, “clones” of Neftegazdetali with similar names, the participants of which are former employees of Neftegazdetali. The employees of the enterprise were also transferred to them.
LLC "Detal" has a debt to its owner, as well as "clones". S. Maltsev considers the conflict settled, his former partners intend to stop using Detal LLC. However, if the transactions for the alienation of the company's assets are carried out without the consent of LLC "Production Investment Company", this may be the reason for a new lengthy litigation.
