Former top managers of Rambler are launching a digital startup.
The founders of Rambler media Rafael Abrahamyan and Maxim Tadevosyan told Vedomosti about the creation of the RAMT investment design bureau.
The co-owners of RAMT in 2013-2020 worked in senior positions in the Rambler media holding, but left the company after Sberbank bought it from Alexander Mamut last year. Abrahamyan stepped down as CEO of Rambler Group in December 2020. Tadevosyan stepped down as CEO of Rambler & Co in early March 2021.
They registered RAMT LLC in January 2021, the company belongs to them in equal shares. RAMT intends to provide services for the launch and development of digital projects for companies in the real sector of the economy, whose activities are concentrated in the offline segment.
The situation when the company consists of two participants was commented by the lawyer of the law firm "Vetrov and Partners" Kristina Kornoukhova.
It is not so important whether the shares of the participants are equal or unequal. In both cases, conflicts can arise between the participants, which can complicate the company's activities or even make it completely impossible. By the way, this also applies to companies with two owners.
In judicial practice, cases on the need for judicial resolution of issues related to the company's activities due to hostility between participants with equal shares are very numerous: most often, disputing participants appeal against the minutes of general meetings, decisions illegally made at such meetings, transactions of the company that were actually made without the consent of the second participant are dealt with recover damages or raise the issue of excluding each other.
The courts in such cases, although they take into account the actual circumstances, always have difficulty in determining the validity of the claims of one of these participants.
